Welcome to the Icon Teez Marketplace™, operated by Icon Teez LLC (“Icon Teez,” “Company,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern your access to and use of the Icon Teez website, online marketplace, storefront, products, digital content, services, applications, and related features collectively referred to as the “Marketplace.”

By visiting, accessing, browsing, creating an account, submitting information, or purchasing any product or service through the Marketplace, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you should not access or use the Marketplace.

1. ABOUT ICON TEEZ

Icon Teez LLC is an apparel, lifestyle, educational heritage, and merchandise brand built around the mission:

“Wear the Legacy. Live the Story.”™

The Icon Teez Marketplace may offer products including, but not limited to:

  • Apparel

  • T-shirts

  • Shirts and polos

  • Jackets and outerwear

  • Dresses

  • Skirts

  • Pants

  • Shorts

  • Activewear

  • Sleepwear

  • Children's apparel

  • Hats and headwear

  • Bags and backpacks

  • Tumblers and drinkware

  • Keychains

  • Lanyards

  • Buttons and pins

  • Bookmarks

  • Magnets

  • Accessories

  • Educational merchandise

  • Heritage-themed products

  • Limited-edition collections

  • Custom merchandise

  • Print-on-demand products

  • Digital products

  • Downloadable materials

  • Artwork

  • Educational resources

  • Licensed collaborations

  • Promotional merchandise

  • Other products and services added to the Marketplace

Product availability may change at any time.

2. ACCEPTANCE OF THESE TERMS

By using the Marketplace, you represent that:

  1. You have read and understand these Terms;

  2. You agree to comply with these Terms;

  3. You are legally capable of entering into a binding agreement; and

  4. The information you provide to Icon Teez is accurate and complete.

If you are using the Marketplace on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. AGE REQUIREMENTS

You must be at least 18 years old or the age of legal majority in your jurisdiction to independently make purchases or enter into transactions through the Marketplace.

Individuals under the age of legal majority may use the Marketplace only with the involvement, supervision, and authorization of a parent or legal guardian.

Products marketed toward children are intended to be purchased by adults on behalf of children unless otherwise stated.

4. MARKETPLACE ACCOUNTS

Certain Marketplace features may allow or require customers to create an account.

You are responsible for:

  • Providing accurate information;

  • Maintaining the confidentiality of your login credentials;

  • Protecting access to your account;

  • Updating information when it changes; and

  • All activity occurring through your account where permitted by law.

You agree to notify Icon Teez promptly if you believe your account has been compromised or accessed without authorization.

Icon Teez reserves the right to suspend, restrict, or terminate an account that we reasonably believe is being used fraudulently, unlawfully, abusively, or in violation of these Terms.

5. PRODUCT INFORMATION

We make reasonable efforts to accurately display and describe products offered through the Marketplace.

Product descriptions may include:

  • Colors

  • Materials

  • Measurements

  • Sizes

  • Features

  • Artwork

  • Designs

  • Product photography

  • Digital mockups

  • Manufacturer specifications

  • Care instructions

However, actual products may differ slightly from photographs or digital representations because of screen settings, lighting, printing processes, manufacturing tolerances, fabric variations, production methods, or other factors.

Such minor variations do not necessarily constitute a defective or incorrect product.

6. COLORS AND DIGITAL MOCKUPS

Colors displayed on your computer, phone, tablet, or other device may differ slightly from the physical product.

Some Marketplace images may be digital mockups, prototypes, conceptual renderings, or pre-production representations.

Final product positioning, color, scaling, stitching, printing, embroidery, fabric placement, pattern alignment, or dimensions may vary slightly from the displayed image.

7. SIZING

Customers are responsible for reviewing the applicable product sizing chart before placing an order.

Different apparel manufacturers and product styles may have different measurements even when they use the same labeled size.

Where available, product-specific sizing information should control over general sizing information.

A customer's usual size with another company does not guarantee the same fit with an Icon Teez product.

8. PRICING

All prices are displayed in U.S. dollars unless otherwise stated.

Prices may change without notice.

Icon Teez reserves the right to:

  • Change product prices;

  • Introduce new products;

  • Discontinue products;

  • Offer promotional pricing;

  • Create bundles;

  • Run limited-time sales;

  • Correct pricing errors; and

  • Modify discounts.

A price displayed incorrectly because of a technical, typographical, system, or administrative error may be corrected.

If a pricing error affects an order that has already been placed, we may contact the customer before fulfillment and provide available options as required by applicable law.

9. TAXES

Applicable sales tax, use tax, or other transaction-based taxes may be calculated and collected at checkout when legally required.

Customers remain responsible for any taxes, duties, customs charges, or similar amounts that are legally their responsibility.

10. ORDERS

Submitting an order does not automatically guarantee acceptance.

We reserve the right, subject to applicable law, to:

  • Accept or reject an order;

  • Limit quantities;

  • Cancel suspected fraudulent transactions;

  • Request additional verification;

  • Refuse orders involving payment irregularities;

  • Cancel duplicate transactions;

  • Correct administrative errors; or

  • Cancel an order when a product becomes unavailable.

An order confirmation generally acknowledges receipt of your order. It does not necessarily constitute final acceptance where additional verification or fulfillment review is required.

11. PAYMENT

Payment must be made using an approved payment method presented during checkout.

Depending on Marketplace configuration, available payment processors may include third-party services such as:

  • Shopify Payments

  • Credit cards

  • Debit cards

  • Digital wallets

  • PayPal

  • Other approved payment processors

Payment processing services may be governed by additional terms established by the payment provider.

Icon Teez does not control the independent policies of third-party financial institutions or payment processors.

12. FRAUD PREVENTION

Icon Teez reserves the right to review transactions for potential fraud, unauthorized activity, payment disputes, or other suspicious behavior.

We may request reasonable verification before fulfilling an order.

Orders may be delayed or canceled where reasonably necessary to investigate suspected fraud or protect the Marketplace, Icon Teez, payment processors, or customers.

13. SHIPPING

Shipping methods, estimated delivery times, and shipping costs may be displayed during checkout or within individual product listings.

Delivery dates are estimates unless expressly guaranteed.

Processing time and shipping time are separate.

Certain products may require additional processing time, including:

  • Print-on-demand merchandise;

  • Embroidered products;

  • Custom merchandise;

  • Limited-edition releases;

  • Pre-orders;

  • Personalized products; and

  • Special production runs.

Icon Teez will comply with applicable federal and state requirements governing shipment and delayed orders.

If an order cannot be shipped within an applicable promised or legally required timeframe, the customer will receive any rights or options required by applicable law.

14. SHIPPING ADDRESS RESPONSIBILITY

Customers are responsible for providing a complete and accurate shipping address.

Customers should review their shipping information carefully before submitting an order.

Icon Teez is not responsible for delays or losses caused solely by an incorrect address provided by the customer, except where otherwise required by law.

If you discover an address error before fulfillment, contact Icon Teez immediately.

We cannot guarantee that an address can be changed after fulfillment has begun.

15. LOST, STOLEN, OR DAMAGED PACKAGES

If tracking indicates that an order is lost, damaged, or otherwise experiences a delivery problem, contact us promptly.

Depending on the circumstances, resolution may involve:

  • Carrier investigation;

  • Delivery confirmation review;

  • Replacement;

  • Refund;

  • Insurance claim; or

  • Other appropriate resolution.

Customers may be asked to provide photographs, packaging information, delivery information, or other documentation reasonably necessary to investigate a claim.

Nothing in this section eliminates any rights available under applicable consumer protection or payment laws.

16. PRINT-ON-DEMAND PRODUCTS

Certain Icon Teez merchandise may be manufactured and fulfilled through print-on-demand production partners.

Print-on-demand products are produced after an order is submitted.

Because production processes can vary, minor differences in print positioning, embroidery alignment, garment tone, or finish may occur.

Material defects, incorrect products, or significant production errors should be reported according to the applicable Return and Refund Policy.

17. CUSTOM AND PERSONALIZED PRODUCTS

Products customized or personalized at the customer's request may have additional restrictions on cancellation, exchange, or return.

Custom products may include:

  • Personalized names;

  • Custom text;

  • Custom colors;

  • Custom sizing;

  • Custom embroidery;

  • Customer-selected artwork;

  • Special production specifications; and

  • Individually commissioned merchandise.

Any special restrictions will be disclosed where appropriate before purchase.

This provision does not eliminate remedies required by law for defective or materially incorrect merchandise.

18. PRE-ORDERS

Icon Teez may periodically offer products for pre-order.

A pre-order reserves a product before its general release or completion of production.

Estimated production and release dates may change because of circumstances including:

  • Manufacturing delays;

  • Supply-chain interruptions;

  • Carrier delays;

  • Vendor delays;

  • Material shortages; or

  • Events outside our reasonable control.

Where applicable law requires customer authorization for a shipping delay or provides cancellation rights, Icon Teez will honor those requirements.

19. RETURNS, EXCHANGES, AND REFUNDS

Purchases are subject to the Icon Teez Marketplace Return and Refund Policy in effect at the time of purchase.

Customers should review that policy before completing an order.

Individual product categories may have different eligibility requirements based on factors such as:

  • Product type;

  • Hygiene considerations;

  • Personalization;

  • Digital delivery;

  • Clearance status;

  • Final-sale designation; or

  • Custom production.

Nothing in the Return and Refund Policy or these Terms eliminates rights that cannot legally be waived.

20. FINAL-SALE ITEMS

Certain products may be designated as Final Sale.

Where permitted by law, final-sale products may not be eligible for ordinary return or exchange.

A final-sale designation does not eliminate remedies that may apply to:

  • Defective merchandise;

  • Incorrect merchandise;

  • Products materially different from what was ordered; or

  • Other circumstances protected by applicable law.

21. DIGITAL PRODUCTS

The Marketplace may offer downloadable or electronically delivered products.

Examples may include:

  • Educational resources;

  • Artwork;

  • Digital posters;

  • Templates;

  • Guides;

  • Books;

  • Workbooks;

  • Curriculum materials;

  • Graphics;

  • Digital merchandise;

  • Licensed content.

Unless expressly stated otherwise, the purchase of a digital product gives the buyer a limited, non-exclusive, non-transferable license for the permitted use described with that product.

Purchasing a digital product does not transfer ownership of the underlying copyright, trademark, artwork, intellectual property, or brand.

22. DIGITAL PRODUCT RESTRICTIONS

Unless a product license expressly permits otherwise, customers may not:

  • Resell digital files;

  • Redistribute files;

  • Share purchased files publicly;

  • Upload files to file-sharing websites;

  • Claim the material as their own;

  • Remove copyright notices;

  • Convert files into products for resale;

  • Provide files to unauthorized third parties;

  • Use materials to create directly competing commercial products; or

  • Reproduce substantial portions for commercial distribution.

Additional license terms displayed with a digital product are incorporated into these Terms.

23. PROMOTIONAL CODES

Promotional codes may be subject to:

  • Expiration dates;

  • Product exclusions;

  • Minimum order amounts;

  • One-use limitations;

  • Customer-specific restrictions;

  • Geographic limitations; and

  • Other promotional conditions.

Unless expressly stated otherwise, promotional codes cannot be combined.

Promotional codes have no cash value and may not be sold or transferred where prohibited by their promotional terms.

24. GIFT CARDS AND STORE CREDIT

If Icon Teez offers gift cards or store credit, separate terms may apply.

Gift cards and store credits:

  • Are not generally redeemable for cash except where required by law;

  • May be subject to applicable fraud-prevention procedures; and

  • May not be duplicated, reproduced, or fraudulently altered.

Any legally required protections governing expiration, fees, or redemption will apply.

25. REVIEWS, COMMENTS, AND USER CONTENT

The Marketplace may allow customers to submit:

  • Reviews;

  • Photographs;

  • Testimonials;

  • Comments;

  • Product feedback;

  • Social-media content;

  • Suggestions; or

  • Other materials.

You retain ownership of original content you submit.

However, by voluntarily submitting content to Icon Teez for publication or promotional use, you grant Icon Teez a non-exclusive, worldwide, royalty-free license to display, reproduce, publish, distribute, adapt, and promote that content in connection with Icon Teez and its products, subject to applicable law.

You represent that you have the necessary rights to submit the content.

26. PROHIBITED USER CONTENT

You may not submit content that:

  • Is unlawful;

  • Infringes intellectual property rights;

  • Contains malicious software;

  • Contains fraudulent statements;

  • Is threatening or harassing;

  • Is defamatory;

  • Violates another person's privacy;

  • Impersonates another individual or company; or

  • Is otherwise prohibited by applicable law.

Icon Teez may moderate or remove content that violates these Terms.

27. INTELLECTUAL PROPERTY

Unless otherwise expressly stated, the Marketplace and its contents are owned by or licensed to Icon Teez LLC or the respective intellectual property owner.

Protected content may include:

  • Brand names;

  • Product names;

  • Logos;

  • Designs;

  • Artwork;

  • Graphics;

  • Illustrations;

  • Photography;

  • Product descriptions;

  • Written materials;

  • Videos;

  • Audio;

  • Packaging;

  • Clothing designs;

  • Educational materials;

  • Digital products;

  • Website design;

  • Marketing materials;

  • Slogans;

  • Collection names; and

  • Other creative assets.

These materials may be protected by copyright, trademark, trade dress, contract law, and other intellectual property laws.

28. ICON TEEZ BRAND PROPERTY

Icon Teez brand assets may include, without limitation:

Icon Teez Marketplace™
Wear the Legacy. Live the Story.™

and other existing or future Icon Teez names, logos, slogans, product lines, characters, mascots, collections, designs, and proprietary branding.

Use of Icon Teez intellectual property without authorization is prohibited except as legally permitted.

29. NO LICENSE BY ACCESS

Access to the Marketplace does not give you ownership of or a license to commercially exploit Icon Teez intellectual property.

You may use Marketplace content for ordinary personal shopping and informational purposes.

You may not reproduce, sell, license, distribute, modify, copy, publish, commercially exploit, or create unauthorized derivative works from protected Marketplace content.

30. COUNTERFEITING AND UNAUTHORIZED MERCHANDISE

The unauthorized reproduction, manufacturing, sale, distribution, or representation of merchandise bearing Icon Teez branding or protected artwork may constitute intellectual property infringement.

Icon Teez reserves all legal rights and remedies concerning counterfeit goods and unauthorized use of its intellectual property.

31. PROHIBITED MARKETPLACE ACTIVITIES

You may not use the Marketplace to:

  • Commit fraud;

  • Violate applicable law;

  • Attempt unauthorized access;

  • Introduce malware or harmful code;

  • Scrape protected content through unauthorized automated means;

  • Interfere with Marketplace security;

  • Misrepresent your identity;

  • Conduct payment fraud;

  • Abuse discounts or promotional programs;

  • Resell protected digital products without permission;

  • Infringe intellectual property;

  • Harass other users;

  • Attempt to disrupt Marketplace operations; or

  • Facilitate unlawful activity.

32. THIRD-PARTY SERVICES

The Marketplace may rely on third-party providers for services such as:

  • Website hosting;

  • E-commerce infrastructure;

  • Payment processing;

  • Shipping;

  • Fulfillment;

  • Print-on-demand production;

  • Analytics;

  • Email communication;

  • Advertising;

  • Social-media integration; and

  • Customer support.

Those services may be governed by their own terms and privacy policies.

Icon Teez is not responsible for the independent conduct or policies of unaffiliated third parties except to the extent responsibility cannot legally be excluded.

33. THIRD-PARTY LINKS

The Marketplace may contain links to websites or services operated by third parties.

A link does not necessarily constitute an endorsement.

Customers should review the policies of third-party websites before providing information or completing transactions through those sites.

34. MARKETPLACE SELLERS AND COLLABORATORS

Icon Teez may in the future allow approved designers, collaborators, licensors, vendors, artists, or other sellers to offer products through the Marketplace.

If third-party sellers are introduced, additional seller-specific or transaction-specific terms may apply.

The applicable product listing should identify material terms concerning fulfillment, returns, licensing, or seller responsibility where required.

35. PRIVACY

Your use of the Marketplace is also subject to the Icon Teez Marketplace Privacy Policy.

The Privacy Policy describes how personal information may be collected, used, stored, disclosed, and protected.

By using the Marketplace, you acknowledge that Marketplace activities may involve the processing of personal information necessary to operate transactions and services.

36. EMAIL AND ELECTRONIC COMMUNICATIONS

By placing an order, creating an account, or communicating with Icon Teez electronically, you consent to receiving transactional communications electronically.

These may include:

  • Order confirmations;

  • Receipts;

  • Shipping notices;

  • Account notices;

  • Customer-service responses;

  • Policy notices;

  • Security notices; and

  • Other transaction-related communications.

Marketing communications will be handled in accordance with applicable law and available opt-out mechanisms.

37. TEXT MESSAGES

If the Marketplace offers optional SMS or text-message services, additional consent terms may apply.

Consent to receive marketing text messages is not required as a condition of purchasing goods unless expressly and lawfully stated otherwise.

Applicable message and data rates may apply.

38. MARKETPLACE AVAILABILITY

We aim to maintain reliable access to the Marketplace but do not guarantee uninterrupted availability.

Access may occasionally be interrupted because of:

  • Maintenance;

  • Technical problems;

  • Cybersecurity events;

  • Hosting issues;

  • System upgrades;

  • Third-party outages;

  • Internet disruptions; or

  • Events beyond our reasonable control.

39. PRODUCT AVAILABILITY

Inventory is subject to availability.

Products may sell out, become unavailable, or be discontinued without notice.

Placement of an item in a shopping cart does not necessarily reserve inventory.

40. COLLECTIONS AND LIMITED RELEASES

Icon Teez may offer limited-edition merchandise or collections.

Quantity limitations may apply.

We may limit purchases per customer, household, payment method, address, or account when reasonably necessary to maintain fair access or prevent unauthorized resale or fraud.

41. DISCLAIMERS

To the fullest extent permitted by applicable law, the Marketplace is provided on an “as available” basis.

Icon Teez does not guarantee that:

  • The Marketplace will always operate without interruption;

  • Every product will remain available;

  • Every digital representation will perfectly reproduce physical colors;

  • Third-party services will always remain available; or

  • The Marketplace will be completely free from technical errors.

Nothing in these Terms disclaims warranties or protections that cannot legally be waived.

42. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Icon Teez LLC and its owners, managers, officers, employees, representatives, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the Marketplace where such liability may lawfully be limited.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

Consumer rights that cannot legally be waived remain unaffected.

43. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Icon Teez LLC and its representatives from third-party claims, liabilities, losses, damages, and reasonable expenses arising from your:

  • Unlawful use of the Marketplace;

  • Material violation of these Terms;

  • Infringement of another person's rights; or

  • Fraudulent or malicious conduct.

This provision does not require a consumer to indemnify Icon Teez for Icon Teez's own unlawful conduct where such indemnification would be prohibited.

44. FORCE MAJEURE

Icon Teez will not be responsible for delays or failures caused by events outside our reasonable control, except where applicable law provides otherwise.

Such events may include:

  • Severe weather;

  • Hurricanes;

  • Flooding;

  • Natural disasters;

  • Fire;

  • Epidemics;

  • Pandemics;

  • Government actions;

  • Labor disruptions;

  • Transportation failures;

  • Carrier interruptions;

  • Cyber incidents;

  • Power outages;

  • Supplier interruptions;

  • Material shortages;

  • Manufacturing interruptions; or

  • Similar extraordinary events.

Any statutory refund, cancellation, or consumer rights that apply despite such events remain in effect.

45. TERMINATION OR SUSPENSION

Icon Teez may restrict, suspend, or terminate access to the Marketplace when reasonably necessary because of:

  • Fraud;

  • Security threats;

  • Illegal activity;

  • Material violation of these Terms;

  • Abuse of Marketplace systems; or

  • Conduct that threatens customers, the business, or Marketplace operations.

Termination does not eliminate rights or obligations that arose before termination.

46. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law or another jurisdiction's mandatory consumer protections apply.

Customers retain any nonwaivable rights available under applicable law.

47. DISPUTE RESOLUTION

Before filing a lawsuit relating to a Marketplace transaction, the parties are encouraged to make a reasonable good-faith effort to resolve the issue directly.

Customers should first contact Icon Teez and provide:

  • Their name;

  • Order number, when applicable;

  • Description of the issue;

  • Relevant supporting information; and

  • Requested resolution.

Icon Teez will make reasonable efforts to review and respond to legitimate disputes.

Nothing in this provision eliminates any legal remedy or consumer right that cannot lawfully be waived.

48. VENUE

To the extent permitted by applicable law, legal proceedings arising from these Terms or use of the Marketplace will be brought in an appropriate state or federal court located in or serving Hillsborough County, Florida.

Mandatory jurisdictional or consumer-protection rights that apply to a customer remain unaffected.

49. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

An unenforceable provision will be interpreted or limited to the minimum extent necessary to make it enforceable where permitted.

50. NO WAIVER

Failure by Icon Teez to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.

51. ASSIGNMENT

Customers may not assign their rights or obligations under these Terms without written authorization where such restriction is lawful.

Icon Teez may transfer its rights or obligations in connection with a merger, acquisition, restructuring, sale of assets, business transfer, or similar transaction, subject to applicable law.

52. CHANGES TO THESE TERMS

Icon Teez may update these Terms periodically to reflect changes involving:

  • Products;

  • Services;

  • Marketplace operations;

  • Technology;

  • Business practices;

  • Legal requirements; or

  • Marketplace features.

The revised version will identify an updated effective or revision date.

Material changes will apply prospectively where required by law.

Your continued use of the Marketplace after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.

53. RELATED POLICIES

These Terms may operate together with other Icon Teez policies, including:

  • Privacy Policy;

  • Return and Refund Policy;

  • Shipping Policy;

  • Digital Product License;

  • Accessibility Statement;

  • Cookie Policy;

  • Intellectual Property Policy;

  • Promotional Terms;

  • Gift Card Terms; and

  • Any product-specific terms.

When a specific written product policy directly conflicts with a general provision of these Terms, the more specific policy will control for that product to the extent permitted by law.

54. ENTIRE AGREEMENT

These Terms, together with applicable Marketplace policies, product-specific terms, and other agreements expressly incorporated by reference, constitute the agreement governing use of the Icon Teez Marketplace.

ACKNOWLEDGMENT

BY ACCESSING OR USING THE ICON TEEZ MARKETPLACE OR COMPLETING A PURCHASE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS OF SERVICE.
